Wolf Theiss lawyers release book on "Cross-Border Mergers in CEE/SEE

WOLF THEISS, one of the leading law firms in Central and Eastern and Southeastern Europe, is pleased to announce that a number of its attorneys have authored a book that addresses the complex aspects of cross-border mergers.

Cross-border mergers involving two jurisdictions can present challenges in and of itself. But Wolf Theiss partners Clemens Philipp Schindler and Harald Stingl, the editors of the new book, have found that the merging of companies across multiple jurisdictions poses a far more complex set of issues. They experienced this firsthand in a project for one client, which led them to see the need for a publication that dealt with the complexities of such mergers, particularly in the CEE/SEE region.

The book, published by LexisNexis and Wolf Theiss, includes chapters on all the countries where Wolf Theiss currently operates: Albania, Austria, Bosnia and Herzegovina, Bulgaria, Croatia, Czech Republic, Hungary, Romania, Serbia, Slovak Republic, Slovenia and Ukraine. The publication covers the national laws implementing the 10th Directive (2005/56/EC) on cross-border mergers for limited liability companies and also focuses on alternative structures for non-EU member states. Further chapters address key-issues of employment and tax law related to cross-border mergers.
