

On 28 May 2010, the law firms DLA Piper Weiss-Tessbach, Dorda Brugger Jordis and Wolf Theiss, as well as the publishing house LexisNexis, invited numerous prominent individuals from all walks of academia and private enterprise to the book launch of the "Manual on Company Acquisitions & Due Diligence". The Austrian National Library hosted this splendid event.
Andreas Baumann, tax counsel at Wolf Theiss, is one of the editors of this manual. In the course of the book launch, he explained: "The Manual on Company Acquisitions & Due Diligence is being published at the right time, as it accompanies those striving to emerge from the recent financial abyss. In particular, tax issues prove to be crucial, which becomes manifest in the recent trend of groups and companies seeking to couple legal and tax due diligence more closely so as to achieve optimal results. In this context, performing a high level tax due diligence that is aimed at identifying so-called red flags which render the acquisition of an enterprise unattractive, while carrying out a legal due diligence, seems to have become a popular option. Tax assessment exceeding the scope of the above appears to be on the decline, however, since the relevant tax provisions are sufficiently covered by the respective tax clauses in the purchase agreement anyway."
The "Manual on Company Acquisitions & Due Diligence" consists of two volumes: In volume 1, entitled Legal Due Diligence, the two editors, Messrs Franz Althuber and Alexander Schopper, supported by numerous renowned authors, scrutinise the legal aspects of a due diligence. In volume 2, entitled Tax Due Diligence, the central risk areas in terms of tax law are particularised on the basis of an introductory account of the procedure and organisation of a tax due diligence. The two editors, Mr Andreas Baumann and Ms Kornelia Waitz-Ramsauer, place great emphasis on practical usability. Volume 2 will also be available as a special Wolf Theiss-branded edition.
